Acceptance of Terms
Welcome to Saf3AI. These Terms of Service ("Terms") govern your access to and use of the Saf3AI platform, website, and services (collectively, the "Services") provided by Saf3AI, Inc. ("Saf3AI," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Description of Services
Saf3AI provides an AI governance platform that enables organizations to secure, monitor, and manage their AI agents. Our Services include:
- AI security monitoring and threat detection
- Agent observability and tracing
- Cost management and optimization tools
- Compliance and audit logging
- Evaluation and testing frameworks
- Related APIs, SDKs, and documentation
Account Registration
To use certain features of our Services, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
You must be at least 18 years old and have the authority to bind your organization to these Terms.
Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services to process, store, or transmit malware or malicious code
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use the Services to compete with Saf3AI
- Reverse engineer, decompile, or disassemble any part of the Services
- Remove or alter any proprietary notices or labels
- Use the Services in any manner that could damage or impair them
Customer Data
You retain all rights to data you submit to the Services ("Customer Data"). By using our Services, you grant Saf3AI a limited license to process Customer Data solely to provide the Services.
You are responsible for:
- The accuracy and legality of Customer Data
- Obtaining necessary consents for data processing
- Maintaining appropriate backups of Customer Data
- Compliance with applicable data protection laws
Fees and Payment
Certain Services require payment of fees. If you subscribe to paid Services:
- Fees are specified in your order or subscription agreement
- All fees are exclusive of taxes unless stated otherwise
- Payment is due within 30 days of invoice unless otherwise agreed
- Fees are non-refundable except as expressly stated
- We may modify pricing with 30 days' notice for renewal periods
Intellectual Property
The Services and all related technology, content, and materials are owned by Saf3AI and protected by intellectual property laws. Except for the limited rights expressly granted herein, no other rights are granted.
You may not use Saf3AI's trademarks, logos, or brand elements without prior written consent.
Confidentiality
Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to use it except as necessary to fulfill obligations under these Terms. Confidential Information does not include information that is publicly available, independently developed, or rightfully received from third parties.
Warranties and Disclaimers
Saf3AI warrants that the Services will perform substantially as described in our documentation. If the Services fail to meet this warranty, your exclusive remedy is for us to correct the non-conformance or, if correction is not commercially reasonable, terminate your subscription and refund prepaid fees for the affected period.
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SAF3AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- SAF3AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- SAF3AI'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY
Indemnification
You agree to indemnify and hold harmless Saf3AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Customer Data processed through the Services
Term and Termination
These Terms are effective until terminated. We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including breach of these Terms.
Upon termination:
- Your right to use the Services ceases immediately
- We may delete your account and Customer Data
- Provisions that should survive termination will remain in effect
Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or through other communications. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
General Provisions
- Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
- Dispute Resolution: Any disputes shall be resolved through binding arbitration in San Francisco, CA, except for injunctive relief which may be sought in any court of competent jurisdiction.
- Entire Agreement: These Terms constitute the entire agreement between you and Saf3AI regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our prior written consent.
